Advanced Micro Devices Inc. (AMD) has announced a strategic acquisition of server manufacturer ZT Systems in a cash and stock deal valued at $4.9 billion.

This acquisition is part of AMD’s aggressive strategy to strengthen its position in the data center and AI markets, directly challenging industry leader Nvidia Corp.

ZT Systems, headquartered in Secaucus, New Jersey, is known for its expertise in producing server computers for large data centers, which are increasingly investing in artificial intelligence capabilities. The acquisition will see ZT Systems integrated into AMD’s Data Center Solutions Business Group, where AMD plans to retain ZT's design and customer teams. However, AMD is considering divesting ZT’s manufacturing division to streamline operations.

A key element of the deal is a contingent payment of $400 million, tied to specific performance milestones, which underscores AMD’s confidence in ZT’s potential. AMD’s CEO, Lisa Su, emphasized that this acquisition will significantly enhance AMD’s capabilities in AI systems within data centers, aligning with the company's broader strategic objectives.

The market responded positively to the news, with AMD shares rising 2.5% in premarket trading. This deal is the latest in a series of strategic moves by AMD, following its $665 million acquisition of Silo AI in July 2024.

These acquisitions highlight AMD’s commitment to expanding its AI software and hardware offerings, enabling it to better compete with Nvidia, which currently dominates the market for AI-related data center technology.
