RESOLUTIONS PASSED AT THE 2024 ANNUAL GENERAL MEETING OF LEARN AFRICA PLC, HELD ON 26TH SEPTEMBER 2024:
1. Presentation of Audited Financial Statements: The Chairman presented the Audited Financial Statement for the fiscal year ending on March 31, 2024 to the shareholders for their review and consideration.
2. Reelection of Directors: The following individuals were reelected as Directors of Learn Africa Plc:
Mr. Federick E. Ijewere
Mrs. Yetunde Aina
Hajia Binta Bakari
3. Authorization to Fix External Auditors' Remuneration: The shareholders authorized the Board of Directors to determine the remuneration for the company's external auditors for the year.
4. Election of Statutory Audit Committee Members: The following individuals were elected to represent shareholders on the Statutory Audit Committee:
SUPE Anthony Omojola
Mrs. Mary Joke Shofolahan
Mr. David Olusegun Oguntoye
Additionally, Mr. Frederick Ijewere and Mrs. Egbichi Akinsanya were nominated as the Directors' representatives on the committee.
5. Approval of Non-Executive Directors' Remuneration: Shareholders approved the remuneration for Non-Executive Directors for the 2024/2025 financial year.
6. Increase in Share Capital: The company increased its Share Capital from ₦771,450,000 to ₦867,881,250 by creating an additional 96,431,250 units of ordinary shares valued at ₦0.50 per share.
7. Bonus Issue Declaration: The company declared a Bonus Issue of one (1) share for every eight (8) ordinary shares held by shareholders whose names were listed in the Company's Register of Members as of Friday, 6th September 2024, for the financial year ending 31st March 2024.
8. Amendment to Memorandum of Association: The shareholders approved the amendment of Clause 6 in the company's Memorandum of Association to reflect the new Share Capital as ₦433,940,625 divided into 867,881,250 ordinary shares of ₦0.50 each.
9. Amendment to Articles of Association:
The Articles of Association were amended to allow the company's Directors to hold Board Committees, Board Meetings, and General Meetings via teleconference or similar communication methods.
