RESOLUTIONS PASSED AT THE 25th ANNUAL GENERAL MEETING OF FIDSON HEALTHCARE PLC

Fidson Healthcare Plc held its 25th Annual General Meeting on the 4th of July 2024 at the Balmoral Convention Center, Sheraton Hotels and Towers, Ikeja, Lagos, and announced the following resolutions:

1. Payment of Dividends:
- Shareholders approved a dividend of 60 kobo per 50 kobo ordinary share, totaling N1,376,997,765.

2. Election and Re-election of Directors:
- The re-election of Mr. Olusegun S. Adebanji, Mrs. Olufunmilola O. Ayebae, and Mr. Emmanuel E. Imoagene was unanimously approved.

3. Fixing of Auditor's Remuneration:
- The Directors were authorized to set the remuneration for the Auditors for the financial year ending 31 December 2024.

4. Disclosure of Managers' Remuneration:
- The remuneration of Managers was disclosed to be N546,921,000.

5. Election of Members of the Statutory Audit Committee:
- Re-elected shareholder representatives: Chief Matthew Akinlade, FCA; Alh. Abdulkabir Babatunde Sarumi; and Mr. Sunday Solomon Akinsanya.
- Board representatives: Mr. Emmanuel E. Imoagene and Mrs. Olufunmilola O. Ayebae.

6. Approval of Directors' Remuneration:
- The remuneration for Non-Executive Directors for the year ending 31 December 2024 was set at N23,000,000.

7. Renewal of Mandate on Recurring Transactions with Related Parties:
- The mandate to enter into recurrent transactions with related parties for the company's operations was renewed.

8. Authority to Raise Additional Capital:
- The Directors were authorized to raise up to N20,000,000,000 through various means, including public offerings, rights issues, or private placements.
- The Directors were also authorized to enter agreements and execute documents necessary to effect these resolutions, including compliance with regulatory directives.
