According to a regulatory notice filed on the Nigerian Exchange Limited (NGX) on January 29, the acquisition was finalized on January 28, 2025. The transaction involved the purchase of 58,580,800 voting rights, solidifying Sustainable Capital’s position as a key stakeholder in Seplat Energy.
Direct Shareholding Without Financial Instruments
The notice confirmed that the entire 9.96% stake was obtained through direct shareholding, with no financial instruments involved. Prior to this acquisition, Sustainable Capital held an 8.93% stake, meaning the latest transaction increased its shareholding by 1.03%.

The acquisition comes at a time when Seplat Energy is expanding its operations. Recently, the company finalized a $1.28 billion acquisition of Mobil Producing Nigeria Unlimited from ExxonMobil, reinforcing its growth strategy in Nigeria’s energy sector.
